Connections Terms and Conditions

By registering for Guidewire Connections (the “Event”), you are agreeing to these Terms, which forms a legal contract between Guidewire Software, Inc. (“Guidewire”, “we”, or “us”) and the registered attendee (“you”). If you are registering on behalf of another, it is your responsibility to ensure that the person attending is aware of these Terms and accepts them, and by completing the registration, you are warranting that you have made the attendee aware of these Terms and that they have accepted these Terms.

The Event may be held in-person and/or in a variety of virtual formats such as a hybrid event, taking place physically along with a virtual offering online. We will provide you with more information on the format on the Event’s registration page. This Agreement is applicable to all attendees (regardless of format).

Event Admission
This Event is limited to Guidewire’s customers and individuals who are invited by Guidewire.

A registration confirmation entitles you to one admittance to the Event. You are responsible for any and all other costs associated with your attendance (including without limitation any travel, accommodation, internet, and/or utility expenses) and Guidewire shall not have any liability for such costs.

By registering for the Event, you agree not to sell, trade, transfer, or share your registration invitation, confirmation, and access to the Event, unless such transfer is granted by us. If Guidewire determines that you have violated this policy, Guidewire may cancel your access, retain any payments made by you, report you to law enforcement authorities, and ban you from future conferences and Event.

Photograph, Video, and/or Audio Recordings
By attending the Event, you acknowledge and agree to grant Guidewire the right to use your appearance, likeness, voice, and speech (collectively, “Appearance” or “Performance”) in connection with any photographs, videos, and audio recordings (collectively, “Recording”) in any and all manner and media (film, digital, video, tape, or otherwise) and all rights whatsoever in perpetuity and worldwide. This authorized use (‘Use’) will include the Recording’s release, publication, exhibition, or reproduction to be used for news, webcasts, promotional purposes, advertising, inclusion on websites, or for any other purpose(s) that Guidewire deems fit to use. Any intellectual property which arises in the Recordings will belong to Guidewire. You hereby agree to irrevocably assign all property rights in the Recordings of your Appearance or Performance to Guidewire.

You authorize Guidewire to edit the Recording at its discretion and to include it with the appearance of other individuals and with sound effects, special effects and music; to incorporate your Appearance into a video or not; to use and to license others to use such recordings and photographs in any manner or media whatsoever, including without limitation unrestricted use for purposes of publicity, advertising and sales promotion; and to use your name, likeness, voice, biographic or other information concerning you in connection with the Recording, commercial tie-ups, merchandising, and for any other purpose.

You agree that you will not include any material in the Recording which is the intellectual property of a third party, unless you have their permission or a license to do so – in which case you hereby irrevocably license Guidewire to use and sub-license any such intellectual property rights.

You release Guidewire from any claim or liability connected with the Recording of your Appearance or Performance. You expressly release Guidewire, from and against any and all claims for invasion of privacy, personal data processing, defamation or any other cause of action arising out of production, distribution, broadcast or exhibition of the Recording including your Appearance.

You acknowledge that the views expressed in the Recording are your own views or, if expressed on behalf of a company or an organization, that such views have received authorization from such company or organization.

By attending the Event, you waive all rights you may have to any claims for payment or royalties in connection with any Use of the Recording. You also waive any right to inspect or approve any Recording taken by Guidewire or the person or entity designated to do so by Guidewire.

All unauthorized filming, sound recording, screen recording, photography, transmission of audio or visual material at the Event by you are expressly prohibited.

Intellectual Property
All intellectual property rights in and to the Event, the Event content and all materials distributed at or in connection with the Event are owned by Guidewire and/or the Event sponsors or speakers presenting at the Event. You may not use or reproduce any trademarks or other trade names appearing at the Event, in any Event content and/or in any materials distributed at or in connection with the Event for any reason without the prior written permission of Guidewire.

Attendance at Guidewire Connections Customer Influence Council (CIC) Sessions
This section of the Terms applies to those attending the Connections Customer Influence Council Session and is intended to facilitate discussions between You and Guidewire for the purpose of obtaining Your Feedback to some of Guidewire’s pre-public future product design plans (the “Purpose”). “Feedback” means all suggestions, enhancement requests, recommendations and the like that You provide to Guidewire. The business, technical and financial information You obtain from Guidewire or that arise out of the Purpose constitute “Proprietary Information.” The subject matter and Purpose of this section are included in the Proprietary Information, as is the Feedback. You will not disclose or, except in engaging in the Purpose, use any Proprietary Information. However, You shall not be so obligated with respect to information from Guidewire that (i) is or becomes publicly available without restriction through no fault of You, or (ii) that You knew without restriction prior to its disclosure by Guidewire. Upon termination of the Purpose or as otherwise requested by Guidewire, You will promptly provide to Guidewire all items and copies containing or embodying Proprietary Information. Guidewire shall own, and  You hereby assign to Guidewire, all intellectual property rights throughout the world that arise in connection with the Purpose or that relate to Proprietary Information; further Guidewire will be free to fully use, employ and exercise any other information related to the Feedback, works of authorship, technology or inventions You have provided or may provide, and any related intellectual property rights, and to allow others to do so.

Cancellation and Change Policy
You acknowledge and agree that Guidewire, in its sole discretion, reserves the right to change at any time any and all aspects of the Event, including but not limited to, the Event name, format (e.g., from an in-person Event to a virtual Event or a hybrid event), number of attendees and participants, themes, content, programs, speakers, performers, hosts, moderators, venue, and time. We will notify you of any changes as promptly as we can but cannot guarantee prior notification of any change.

If we change the date or cancel the Event, Guidewire shall, at its sole discretion, offer you the option of attending any rearranged Event that Guidewire chooses to organize. If you promptly (within not more than 10 days after being notified by Guidewire of the new date of the Event) notify Guidewire in writing at connectionsreg@guidewire.com that you do not wish to attend the rearranged Event or if Guidewire elects not to rearrange the Event, you will (as your sole remedy) be entitled, at your discretion, to receive either a credit note or a refund in respect of your fees received by Guidewire.

If you are unable to attend the Event for any reason, you may cancel your registration by providing written notice to the Guidewire Connections team at connectionsreg@guidewire.com. All cancellation requests must be sent to the above email address by the dates specified on the registration information page. We will refund you the full amount you paid to register for the Event.

You acknowledge and agree that the provisions of this paragraph set out your sole remedy in the event of cancellation or the changing of the date(s) of the Event and all other liability of Guidewire is hereby expressly excluded.

Code of Conduct
By registering for the Event, you have read and agree to our code of conduct.

In addition to the code of conduct above, if you are attending the Event in-person, you agree to comply with all health and safety requirements and guidelines as set forth by the venue in which the Event is being held. You can find these requirements and guidelines here.

You acknowledge that Guidewire reserves the right to remove you from the Event if we, in our sole discretion, considers your presence and/or behavior to create a disruption, a health or safety concern, a security risk, or to hinder the Event and/or the enjoyment of the Event by other attendees or speakers.

Data Protection
You consent to the sharing of your personal information (e.g., name, email address, job title, and place of employment) with Guidewire Event sponsors and attendees. Your personal information may be included in a list of attendees, used by Event sponsors to interact and communicate with you before and after the Event. Use of your personal information by sponsors is governed by each sponsor’s privacy policy. Please visit the Connections website for a list of our sponsors.

We use third party service providers to assist us with registration, badge scanning, and other administrative purposes. These companies are authorized to use your personal information only as necessary to provide such services.

Virtual Attendance
If you are virtually attending the Event, you are responsible for any technical requirements needed to enable you to access the Event website, app or other platform (the “Event Platform”) made available by Guidewire to facilitate participation in the Event. We do not guarantee that the Event Platform will operate continuously, securely or without errors or interruption, and we do not accept any liability for its temporary unavailability. We do not guarantee that the Event Platform and/or any content thereon (including, without limitation, any content available for download) will be free from viruses, infections, Trojan horses, worms and/or any other code that has contaminating or destructive properties. By agreeing to these Terms, you will not attempt to interfere with the proper working of the Event Platform (for example, by attempting to circumvent security or tamper with, hack into or otherwise disrupt any computer system, server, website, router or any other internet connected device). You agree to comply with any website terms of use and/or fair or acceptable use policies indicated on any website on which the Event Platform is hosted. We do not endorse or accept any responsibility for the content, or the use of, any goods or services that may be identified or described on the Event Platform and we shall not be liable for any loss or damage caused or alleged to be caused by or in connection with use of, or reliance on, any content, goods or services available on or through the Event Platform or any website or other resource referenced therein. Guidewire may issue you with a username and password. Such usernames and passwords are confidential and remain the property of Guidewire at all times and may not be sold, assigned or transferred to any third party without our permission. Your username and password are personal to you. You agree that you will not permit others to use your username or password and you will be and remain liable for the acts of any person using your username and password. Any posts, messages or other materials, information or data you supply or upload to the Event Platform (collectively, “Materials”) will be considered non-confidential and non-proprietary, and we have the right to use, copy, distribute and disclose to third parties any such Materials for any purpose. You hereby waive any moral rights in any Materials to the extent permitted by applicable law. We reserve the right, at our sole discretion, to edit or remove postings to any message boards on the Event Platform and delete or use electronic methods to block or filter any Materials at our discretion, but we do not have any obligation to do so. You shall not make libelous postings or any postings that are illegal or infringe the intellectual property rights of any third party. Guidewire will not be responsible for monitoring Materials for compliance with law. You may use the Event Platform solely for access to the Event. Without limitation, you must not (i) download, store, reproduce, transmit, display, copy, distribute, exploit or use the Event Platform and/or any content thereon for your own commercial gain, (ii) use the Event Platform and/or any content thereon in any manner other than in compliance with law and this Agreement, (iii) infringe our intellectual property rights or those of any third party in relation to your use of the Event Platform and/or any content thereon, (iv) transmit, or procure the sending of, any unsolicited or unauthorized advertising or promotional material or any other form of similar solicitation, and/or (iv) knowingly transmit, send or upload any data that contains viruses, infections, Trojan horses, worms and/or any other code that has contaminating or destructive properties. We are under no obligation to oversee, monitor or moderate any interactive service we provide on the Event Platform and, without limitation, we expressly exclude all liability for any loss, injury or damage whatsoever arising from the use of any interactive service by any user, whether the service is moderated or not.

Indemnification
You agree to indemnify us, our staff and our affiliates and to hold us harmless to the fullest extent permitted by law, against all loss, costs, fees, claims or expenses of any kind arising from any intentional, harmful, and negligent act or omission by you during or otherwise in relation to this Event.

Limitation of Liability
Other than to the extent required as a matter of law: (i) neither Guidewire, its affiliates nor Event sponsors shall be liable for any direct, indirect, special, incidental, or consequential costs, damages or losses arising directly or indirectly from the Event or other aspect related thereto or in connection with this Agreement.

The maximum aggregate liability of Guidewire for any claim in any way connected with these Terms whether in contract, tort or otherwise (including any negligent act or omission) shall be limited to the amount paid by you to Guidewire, if any, under this Agreement to attend the Event.

Governing Law and Jurisdiction
These Terms shall be governed by the laws of the State of California and the parties shall submit to the exclusive jurisdiction of courts in San Mateo, California.
